Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of NovaMind Technologies FZE's ERP software, modules, and related services ("Services"). By subscribing, accessing, or using NovaMind, you agree to these Terms.

2. Account & Access

• • You must provide accurate registration details.
• • You are responsible for all activity under your account.
• • NovaMind may suspend or terminate accounts that breach these Terms.

3. Services & Modules

• • NovaMind provides modular business software (ERP, CRM, Inventory, HR & Payroll, eCommerce, Logistics, Reports, Invoicing, etc.).
• • Modules are licensed on a subscription basis.
• • Custom solutions (apps, websites, integrations) are governed by separate contracts.

4. Payments & Billing

• • Subscription fees are billed monthly or annually in AED.
• • Non-payment may result in suspension of services.
• • All fees are non-refundable unless required by UAE law.

5. Acceptable Use

You agree not to:

• • Misuse the Services for unlawful purposes.
• • Attempt to hack, overload, or disrupt the system.
• • Resell or sublicense NovaMind without written consent.

6. Data & Privacy

• • Data is stored securely and managed according to our Privacy Policy.
• • You retain ownership of your business data; NovaMind is a processor.
• • NovaMind may use aggregated, anonymized data for analytics and improvement.

7. Service Availability

• • NovaMind aims for 99.9% uptime.
• • Scheduled maintenance will be announced in advance.
• • NovaMind is not liable for outages beyond reasonable control.

8. Liability & Warranty

• • NovaMind provides services "as is" without guarantees.
• • Liability is limited to the amount you paid in the last 12 months.

9. Termination

• • You may terminate at any time by cancelling your subscription.
• • NovaMind may terminate accounts for breach of these Terms.

10. Governing Law

• • These Terms are governed by UAE law.
• • Disputes will be settled in the courts of Dubai, UAE.
